I'm about to start on a collaborative app with a guy and have a contract to sign but I have never done anything like this before so I don't really know what to sort of stuff to check for on the contract.
The problem I have is that I'm not sure (from the contract) what I am allowed to disclose to other people in order for them to check the contract through with me.
Can anyone offer any advice?
Surely it is normal to have a third party check a contract before signing?
Thanks
Oliver

always worth getting a friendly solicitor to check it over.
check for things you have to deliver and penalties
get out clauses and liabilities.

I'd say it's pretty much essential. You could maybe get away with it if it's obviously a 'form' contract but other than that, a few quid spent letting a solicitor look at it would be worthwhile. Any contract which stipulates you can't show it to anyone else would get me worried form the start, to be honest with you.

Don't mix up NDA's ( Non Disclosure Agreements ) and contracts.
An NDA will say you cannot discuss XYZ etc a contract will say you must deliver x by such y date and you will be bound by an NDA.
That way you can get the contract approved in safety.

Yeah, I'm just being over cautious (don't know why). The contract says stuff like "I mustn't discuss internal financial information of the company with anyone" etc... There is nothing on the contract that says I cannot show the contract to other people.

Shirley you would be covered by the confidentiality of a relationship between you and a solicitor if your saw one anyway.

If one is diving so close to the limits that +/- 1% will make a difference then the error has already been made.

My Dad took a look at it and made a few comments about a couple of wordings.
I then edited the bits he commented on and asked if it was OK (with the other guy) and it was.
TBH I think I'm fairly safe working with this guy but you can never be 100% certain.
Anyway, they are now in the post.
